IN ADDITION, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAL AXIS’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS IS $0.

If applicable law does not allow a full exclusion or a $0 cap, then our total aggregate liability shall not exceed the greater of $100 or the minimum amount required by law. Some jurisdictions do not allow the above limitations; in such cases, they apply only to the extent permitted.

10. Indemnification
You will defend, indemnify, and hold harmless Opal Axis and our officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Site, your User Content, or your breach of these Terms.

11. DMCA; Repeat Infringer Policy
If you believe content on the Site infringes your copyright, send a DMCA notice to the contact in Section 17 with: (a) your signature; (b) identification of the work; (c) identification of the allegedly infringing material; (d) your contact info; (e) a statement of good-faith belief; and (f) a statement under penalty of perjury of accuracy and authority. We may terminate accounts of repeat infringers.

12. Suspension; Termination; Changes
We may modify, suspend, or discontinue the Site at any time, and we may suspend or terminate your access at any time and for any or no reason. Sections that by their nature should survive (including 4–10, 13–18) will survive any termination.

13. Governing Law (Delaware) & Arbitration; Class-Action/Jury Waivers
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Binding Arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or the Site shall be resolved by final and binding arbitration administered by JAMS under its Streamlined Rules, before a single arbitrator, in New Castle County, Delaware. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.

Class/Representative Action Waiver. You and Opal Axis may bring claims only in your or our individual capacities and not as a plaintiff or class member in any purported class or representative proceeding.

Jury Trial Waiver. You and Opal Axis waive any right to a jury trial.

Injunctive Relief. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its IP or confidential information pending arbitration. If a court finds arbitration unenforceable in a particular case, exclusive jurisdiction and venue shall be the state and federal courts located in New Castle County, Delaware.

14. Export; Sanctions; Anti-Corruption
You may not use the Site if you are barred under U.S. laws, including export controls and sanctions. You agree to comply with all anti-corruption, export, and sanctions laws.

15. Privacy; Cookies
Your use of the Site is subject to our Privacy Policy and Cookie Policy, which are incorporated by reference.

16. Severability; Assignment; Entire Agreement
If any provision is held invalid, it will be limited or eliminated to the minimum extent necessary, and the remainder will continue in full force. You may not assign these Terms without our prior written consent; we may assign freely. These Terms constitute the entire agreement between you and us regarding the Site.
